Alan S. Gaynor is a Partner in the New York office. He concentrates his practice on high end mergers and acquisitions, public and private securities offerings, and general corporate, governance and securities matters. Alan also has a background in accounting and taxation with major accounting and financial firms.
Alan has been the lead attorney on a variety of multi-billion and multi-hundred million dollar corporate transactions. He has represented corporate buyers, sellers and target companies in mergers, acquisitions and divestitures. Furthermore, he has counseled issuers and underwriters in public securities offerings; issuers, investors and placement agents in private and exempt securities offerings; and issuers, portfolio companies and investors in private equity transactions. Additionally, Alan has advised public issuers in connection with Securities Exchange Act of 1934 reporting and compliance obligations and securities exchange (NYSE, NASDAQ and AMEX) listing and maintenance issues.
Alan has experience structuring and negotiating joint ventures and other business partnerships, and counseling with respect to business breakups and dissolutions. His recent transactional engagements include business combinations, change-in-control transactions, 13e-3 “going private” transactions, tender offers, public offerings and private placements, Real Estate Investment Trusts (REITs), Special Purpose Acquisition Companies (SPACs), private investments in public equity (PIPEs) and various recapitalizations and reorganizations.
Earlier in his career, Alan represented numerous franchisors in connection with their franchise activities and franchise sales throughout the country and has formed off-shore insurance companies marketing variable insurance and annuity contracts qualifying for favorable tax treatment under the United States Internal Revenue Code. Prior to practicing law, Alan was an active Certified Public Accountant and has experience with corporate finance, financial auditing and domestic taxation.
