Alissa M. Yohey is an Associate in the Albany office. She has provided transactional, corporate, compliance, regulatory, and litigation services to a variety of health care providers and entities. Moreover, Alissa has amassed extensive experience in real estate transactions and corporate practice.
Alissa’s real estate experience includes representing clients in mortgage and construction loan transactions, office, commercial and ground lease transactions, acquisition and disposition of commercial real estate properties, loan work-outs and restructuring , foreclosure proceedings and sales, and landlord and tenant law. She has advised clients on the formation and selection of appropriate business structures for the acquisition and operation of real estate, including corporations, limited liability companies, general partnerships, limited partnerships and joint ventures. Alissa has also assisted clients with related business and asset acquisition and disposition transactions, including the preparation of employment and consulting contracts, general commercial contracts and by-laws, as well as shareholder, operating, partnership and joint venture agreements. Additionally, Alissa has provided clients with commercial litigation and general corporate services, including the formation of not-for-profit entities and obtaining Federal and State tax-exempt status.
Prior to joining Wilson Elser, Alissa was a Legal Intern for Magistrate Judge David R. Homer in the United States District Court for the Northern District of New York. She is a member of the New York State Bar Association, the American Bar Association, and the American Health Lawyer’s Association. Alissa is a graduate of the College of Saint Rose and Albany Law School. She is admitted to practice in New York State and the United States District Court in the Northern District of New York.
