Frederick J. Pomerantz is a Partner in the New York office. His practice focuses on the commercial and transactional needs of regulated industries.
Fred has worked on organizing and licensing insurers, reinsurers and related entities, including producers, risk retention groups and risk purchasing groups. He has also directed insurance company mergers, acquisitions, reorganizations, redomestications and divestitures, and United States branch domestications.
In addition, Fred has handled the mergers of two commodities exchanges and drafted private offering statements for commodities brokerages and clearinghouses. He has also represented underwriters and brokers in penny stock offerings and counseled several religious and other not-for-profit organizations with respect to their structural and risk management requirements.
Fred has counseled Latin American and Japanese insurers and reinsurers with respect to U.S. investment laws that impact their operations. He has also provided counsel on holding company compliance, online insurance transactions, and the applicability of the federal excise tax and/or federal tax treaties to policies of worldwide coverage issued by alien insurers and reinsurers. His practice has addressed changes in global and United States reinsurance collateralization rules, financial service integration issues and proposed federal regulation of the insurance industry.
Further, Fred has handled insurance product development, drafted policy wordings, reinsurance contracts and cut-through endorsements, and has prepared rate and form filings. He has represented clients in many other aspects of insurance corporate and regulatory work for more than 25 years.
Fred has served on the Board of Directors of one life insurance company and two property-casualty insurance companies in New York. He has also served on the Board of Trustees of a prominent Great Neck, NY, religious institution and has served as General Counsel to the board and management of numerous other corporations.
Currently, Fred is Northeast Regional Director of the Federation of Regulatory Counsel, Inc. He has served for 11 years as Chairman of the Governmental Regulations Committee of the Torts, Insurance and Compensation Law Section of the New York State Bar Association and is currently listed in the International Lawyers Directory, which is published in the United States and Japan.
Further, Fred has published 50 articles appearing in major insurance trade journals in the United States, Argentina, Japan and the United Kingdom. He has organized seminars for clients of the firm on e-commerce, insurance fraud, international insurance regulation arising out of the global recession, alternative markets including captives, new Medicare reporting requirements and, most recently, on the crisis in the financial industry in the United States.
