H. Steven Vogel is Partner in the Miami office. His practice focuses on professional liability litigation and corporate law including commercial transactions and dispute resolution. Steven’s work with professionals includes the defense of accountants, lawyers, real estate professionals and insurance agents.
Steve has an extensive background in both the accounting and legal professions. His career includes more than six years of professional experience with the New York offices of Ernst & Young and Pricewaterhouse Coopers in the Multi-National Corporate Tax Group as a Tax Consultant and Auditor.
Steve has represented both large and small CPA firms in lawsuits and claims involving alleged malpractice in connection with financial statement audits, reviews, compilations as well as tax return preparation. His legal malpractice defense work has been in Florida’s federal and state courts where the underlying issues included failed initial public offerings and other securities issues involving the SEC.
Before the Internal Revenue Service, Steve has represented corporations and individuals in connection with tax deficiencies and he has represented taxpayers involved in tax preparer litigation against the U.S. Department of Justice. His work also includes the representation of CPA’s before state licensing agencies.
Steve’s corporate work includes: consulting clients on the formation of domestic and foreign corporations, limited liability companies, general and limited partnerships, joint ventures, the creation of corporate agreements, asset and stock purchase agreements, shareholder, management, employment, consulting, independent contractor and other internal agreements. Steve utilizes his corporate tax background to consult clients on domestic and international tax matters in connection with formation and transaction issues.
Steve is a Professor at Florida International University where he teaches Business Law, Policy, Real Estate Law and Federal Tax. He has been an Adjunct Professor at the University of Miami School of Law, teaching Federal Taxation of Real Estate Transactions. Steve is also a frequent lecturer on professional liability issues within Florida and other states including the Florida Institute of Certified Public Accountants.
